Terms and Conditions

These Terms and Conditions govern access to and use of MCADE Transport,
including its websites, web applications, mobile applications, software,
services, features, and related materials.

1. About MCADE Transport

MCADE Transport is a transportation-management software platform operated
by MCADE LLC. The platform may provide tools for company management, ride
administration, dispatching, customer management, driver management,
pricing, communications, analytics, team access, and related business
operations.

MCADE Transport provides software and technology services. Unless expressly
stated otherwise, MCADE LLC is not the transportation carrier, employer,
dispatcher, insurer, or contracting party for transportation services
provided by independent companies using the platform.

2. Eligibility and Authority

You must be at least 18 years old and legally capable of entering into a
binding agreement. If you use the platform for a company or organization,
you represent that you have authority to act on its behalf.

3. Accounts and Security

You are responsible for providing accurate account information, protecting
your login credentials, and maintaining the security of your account. You
may not share credentials with unauthorized persons or allow another person
to impersonate you.

You must notify us promptly if you suspect unauthorized access, credential
theft, or misuse of your account.

4. Company Owners and Administrators

Company Owners and authorized administrators may invite, enable, disable,
or remove company members and assign roles or permissions. Each company is
responsible for ensuring that access is granted only to authorized persons.

Company Owners are responsible for activity performed by users operating
under their company account, except where prohibited by law.

5. Acceptable Use

You may not use MCADE Transport to:

• Violate any law, regulation, court order, or third-party right
• Access another company’s data without authorization
• Upload malicious code or interfere with platform security
• Attempt to bypass authentication, permissions, or subscription controls
• Harass, threaten, defraud, impersonate, or exploit another person
• Store unlawful, misleading, or infringing information
• Reverse engineer or misuse the platform except where legally permitted
• Use automated methods that place an unreasonable burden on the service

6. Transportation Operations

Companies using the platform are independently responsible for their
transportation operations, drivers, vehicles, insurance, permits,
licensing, pricing, customer relationships, taxes, safety procedures,
regulatory compliance, and fulfillment of transportation services.

MCADE LLC does not guarantee the identity, qualifications, licensing,
insurance, conduct, availability, safety, or performance of any company,
driver, customer, or other platform user.

7. Subscriptions and Billing

Certain features require a paid subscription. Subscription pricing,
included usage, billing frequency, trial terms, and renewal information
will be presented before purchase.

Unless canceled, recurring subscriptions may renew automatically using the
payment method on file. You authorize applicable recurring charges until
cancellation takes effect.

Taxes, payment processing requirements, and third-party payment terms may
also apply.

8. Free Trials and Review Access

Free trials and temporary review access may be limited in duration,
features, users, vehicles, companies, or usage. We may modify or end a
trial or temporary access program where reasonably necessary.

Google Play or other marketplace review accounts are intended solely for
platform evaluation and do not create a paid subscription or entitlement
to continued commercial use.

9. Cancellation and Refunds

Subscription cancellations and refund requests are governed by our
Refund and Cancellation Policy:

10. User and Company Data

You retain responsibility for information submitted through your account.
You grant MCADE LLC the limited rights reasonably necessary to host,
process, transmit, secure, back up, and display that information to provide
and maintain the service.

You represent that you have the legal right and appropriate authorization
to enter names, telephone numbers, addresses, ride locations, driver
information, customer information, and other data into the platform.

11. Privacy

Our handling of personal information is also governed by the MCADE
Transport Privacy Policy. Account-deletion requests may be submitted at:

12. Third-Party Services

The platform may interact with third-party services such as hosting
providers, payment processors, mapping providers, email providers, app
marketplaces, analytics providers, or other technology vendors.

Your use of third-party services may be subject to separate terms and
policies. MCADE LLC is not responsible for third-party systems outside its
reasonable control.

13. Intellectual Property

MCADE Transport, its software, branding, interfaces, designs,
documentation, code, and related materials are owned by or licensed to
MCADE LLC and are protected by applicable intellectual-property laws.

No ownership rights are transferred to you. Your subscription grants a
limited, revocable, non-exclusive, non-transferable right to use the
platform according to these Terms.

14. Availability and Changes

We may maintain, update, secure, improve, modify, suspend, or discontinue
features when reasonably necessary. We do not guarantee uninterrupted or
error-free availability.

Scheduled maintenance, emergencies, third-party outages, internet
disruptions, security incidents, and events outside our control may affect
availability.

15. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MCADE TRANSPORT IS PROVIDED “AS
IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED,
INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE,
NON-INFRINGEMENT, OR UNINTERRUPTED OPERATION.

16. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MCADE LLC WILL NOT BE LIABLE FOR
INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL
DAMAGES, LOST PROFITS, LOST REVENUE, LOST DATA, BUSINESS INTERRUPTION,
MISSED RIDES, TRANSPORTATION LOSSES, OR THIRD-PARTY CONDUCT.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MCADE LLC’S TOTAL LIABILITY
ARISING FROM THE SERVICE WILL NOT EXCEED THE AMOUNT PAID BY THE AFFECTED
CUSTOMER TO MCADE LLC DURING THE SIX MONTHS PRECEDING THE EVENT GIVING RISE
TO THE CLAIM.

17. Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold
harmless MCADE LLC and its owners, officers, employees, contractors, and
affiliates from claims arising from your transportation operations, your
data, your users, your violation of law, your breach of these Terms, or your
infringement of another party’s rights.

18. Suspension and Termination

We may suspend or terminate access for nonpayment, security concerns,
unlawful activity, misuse, material breach, risk to other users, or conduct
that threatens the platform or its integrity.

Provisions that reasonably should survive termination will remain in
effect, including payment obligations, intellectual-property provisions,
disclaimers, liability limitations, and dispute provisions.

19. Governing Law

These Terms are governed by the laws of the State of Texas, without regard
to conflict-of-law principles. Unless applicable law requires otherwise,
disputes will be brought in a court of competent jurisdiction located in
Harris County, Texas.

20. Changes to These Terms

We may update these Terms as the platform, business, or legal requirements
change. Updated Terms will be posted with a revised effective date.
Continued use after the effective date constitutes acceptance where
permitted by law.
